Terms of Service

1. Acceptance of Terms

By accessing our platform, connecting your QuickBooks Online or Xero accounting tenant, or forwarding purchase orders to your dedicated ingestion alias, you agree to be bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

2. Description of Service

OrderKeeper reads purchase orders you forward by email or upload (PDF, PNG, JPEG and WEBP files), extracts their details (SKUs, descriptions, quantities and prices) using an AI model, matches each line to the products in your accounting catalog, and, once you approve an order, enters it in your ledger through the connection you authorize: in QuickBooks Online as an estimate or, if your organization chooses so in Settings, an invoice; in Xero as a draft invoice.

3. Accounting Integrations (Intuit QuickBooks & Xero)

OrderKeeper adheres strictly to the Intuit Developer Terms of Service and Xero Developer Agreement:

• Use of Access: We request the access each ledger requires for this service (for QuickBooks Online, its accounting permission, which is the narrowest Intuit offers). We use it only to read your customers and products; to read the settings needed to enter an order the way your ledger expects (company name and currency, tax codes and rates, document numbering, payment terms, discount and custom-field settings, exchange rates); to create the orders you approve and attach the purchase order file to them; and to create a customer when you ask OrderKeeper to add one from a purchase order.
• Only What You Approve: Nothing is created in your ledger until you approve it in OrderKeeper. In QuickBooks Online, estimates are created with "Pending" status and invoices are created unsent: OrderKeeper never emails them to your customer. In Xero, invoices are created with "Draft" status.
• Revocation: You may disconnect your accounting tenant at any time through the OrderKeeper dashboard or directly within your Intuit AppCenter / Xero connected apps portal.

4. Customer Data & Accuracy Disclaimer

While OrderKeeper utilizes state-of-the-art vision models and mathematical sanity checkers, optical extraction depends on document image quality and formatting. You acknowledge that users retain ultimate operational responsibility for verifying final quantities, pricing, and accounting mappings before executing fulfillment or billing.

5. Subscriptions, Quotas, and Billing

A new organization starts with a free 14-day trial that includes 15 purchase orders; no card is needed. After the trial, a paid plan is needed to keep processing orders.

Subscriptions are billed monthly through Stripe. Each plan includes a number of purchase orders per billing period, renewed when the period renews:

• Starter: 150 purchase orders per month.
• Growth: 500 purchase orders per month.
• High Volume: 1,500 purchase orders per month.

You can cancel at any time from the billing portal.

6. Security and Data Protection

Connections to our service are encrypted in transit (HTTPS). The access tokens for your QuickBooks Online or Xero connection are stored encrypted (AES-256). Every record belongs to one organization, and each request is checked against the signed-in user's organization before any data is returned. We do not sell, rent, or monetize your purchase orders, customer lists, or accounting records.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Rapidops Apps LLC shall not be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, inventory miscalculations, or business interruption arising out of the use or inability to use the service.
